Welcome to the Protective Security Network (PSN). This document includes the Terms and Conditions in relation to our website and social media, and additional Terms and Conditions for PSN Members.
BACKGROUND
1. Protective Security Network Pty Ltd is a private enterprise entity with the aim to provide opportunities for professional development and knowledge through shared information, education and research for protective security practitioners. Our services are web-based to support our members within Australia and across the Asia-Pacific.
2. PSN provides the following services through subscription (collectively referred to as ‘Services’):
a) an active on-line platform to raise matters and introduce information aimed at enhancing the professional knowledge of members,
b) authoritative national and international sourced information on security and related matters such as governance, professional development, risk management, emergency management, and resilience,
c) ideas and material for dealing with situations, such as may be familiar and/or challenging and /or emerging.
d) limited one-on-one online consultation with a PSN mentor.
3. We do not provide:
a) in-depth theoretical and competency-based programs, provided by universities, colleges or registered training organisations,
b) courses for licensing purposes, or any other security-related training typically provided by employers and specialist trainers,
c) security services or consultancies.
4. When you use our website, you agree to be automatically bound by these terms and conditions, and accept our Privacy Policy and disclaimers below, collectively referred to as ‘terms’.
5. The PSN Terms and Conditions outline the rules governing the interaction between its website www.protectivesecuritynetwork.com.au (‘Site’) and all users, and all members of Protective Security Network (‘Agreement’).
6. The PSN Terms and Conditions include additional specific obligations and information related to membership of PSN. For example, it articulates PSN member compliance with the PSN Code of Conduct.
7. The Terms and Conditions form the entire agreement between us. We encourage you to carefully read and understand these terms before using our website. If you do not agree with these terms, your remedy is to stop using our website.

It is the responsibility of PSN members, to regularly check for any updates to membership provisions of the PSN terms. If you do not agree with our updated terms, your remedy is to stop using our website at that time, or as. member stop using PSN services.
9. When you see the words, ‘us’, ‘ours’, ‘we’, or ‘PSN’ these refer to the business of Protective Security Network Pty Ltd ACN 673 295 068. You can contact us on the details provided below. When we refer to ‘our website’, we mean this one as owned and operated by us. Our website can also include all forms of digital media (for example LinkedIn) and expression, such as social media pages, platforms, email communications, blogs, images or information published on our website.
10. We may refer to you as ‘you’, ‘your’, ‘user’, ‘visitor’, or ‘members’ and we mean you, the person or business who is engaging our website or social media and using our website and social media that we use and any additional features.

PSN MEMBERSHIP TERMS & CONDITIONS
PURPOSE
71. Core reasons for these Membership Terms & Conditions are to:
a) represent, reinforce and sustain the highest professional standing for members of PSN.
b) articulate the rights and obligations of members pertaining to membership and the access and use of PSN services at www.protectivesecuritynetwork.com.au
c) inform about PSN’s commitment to privacy and other important issues.
d) reinforce the standard that the PSN community expects members to be trustworthy and professional. As a Member, You agree to abide by our Code of Conduct which may read at the bottom of our homepage: www.protectivesecuritynetwork.com.au
72. “Board”: The PSN Advisory Board comprises people from various backgrounds with diverse expertise who volunteer their knowledge and time to support the PSN goal and values.
73. “Code”: PSN Code of Conduct.
74. Content”: any content published, posted or distributed on the Website by PSN, Users or a third party. This includes articles, newsletters, commentaries, seminars (both live streams and recordings), podcasts, templates, fact sheets, educational materials, mentoring materials, chat threads, online forums and any other text, words, information, images, videos, sounds, data or hypertext links.
75. “Entity”: Protective Security Network Pty Ltd, ACN 673 295 068.
76. “Goods and Services Tax” or “GST”: has the meaning under section 195-1 of the A New Tax System (Goods and Services Tax) Act (Cth) 1999.
77. “Materials”: Refers to any information provided by PSN in any form or by any format.
78. “Member”: You, a subscriber to the Protective Security Network online services and who is a member of the PSN professional community. Except as otherwise provided in writing, PSN members have a non-voting and non-shareholder status.

80. “Participant”: User who, particularly by participating in online events and responding to polls, sends and visualises their information associated with PSN.
81. “Personal Information”: Information provided by applicants for membership, members and other users of the Website that has the status of being confidential.
82. “Protective Security Network” (PSN): the incorporated entity and its services,
functionalities and applications accessible via the internet.
83. “PSN Community”: Comprises PSN and PSN members, personnel, sponsors and partners.

86. Subscriber: a person who is financially current to access PSN services. The term ‘member’ may be used by subscribers.

88. “Third-Party”: an entity or person providing additional support or services to PSN or for members in conjunction with PSN.

94. As a PSN Member, you are invited to submit suggestions to refresh our Terms and Conditions.
95. By You logging in and accessing, browsing or otherwise using this Website, implies your acceptance to be bound by these Terms and Conditions (including the Website Terms) and disclaimers, our Code of Conduct and our Privacy Policy, as amended from time to time.
96. Should You not accept these Terms and Conditions, our Code of Conduct or our Privacy Policy, please cease accessing the Website and inform us about the concerns you have.
97. You accept that PSN may amend these Terms and Conditions from time to time without notice. Any amendment will be effective immediately upon being posted on this Website. It is your responsibility to check our website periodically for changes. Your continued use of this Website after any amendment becomes effective will constitute your acceptance to be bound by these Terms and Conditions, as amended.
MEMBERSHIP AND SERVICES
98. PSN membership is based on paid subscription, which provides You with the status as a PSN Member and access to PSN Services.
99. PSN will not reimburse subscription (membership) fees but may consider requests to extend the currency of your subscription to account for any downtime in the provision of Services.
100. In order to be granted PSN membership, you must:
a) be at least eighteen (18) years old and able to enter into contracts;
b) agree to the PSN Terms and Conditions (including the Website Terms);
c) accept and abide by the PSN Code of Conduct;
d) accurately complete the online membership application process;
e) read and accept the PSN Privacy Policy.
101. PSN fees and other charges are referenced in Australian Dollars (AUD).
102. Payments to PSN are subject to Goods and Services Tax in accordance with Australian legislation.
103. Termination of your membership by PSN will cancel your access to services provided to Members and cancel your PSN membership status. Termination of your membership payments will cancel your access to services and benefits provided to members and your status of member. Disruption to your membership payments may cancel your access to services and benefits provided to members.
104. PSN reserves the right to disable access to the Member’s Section at any time without notice or liability.
105. PSN encourages members to make full use of our services. However, PSN reserves the right to prevent or stop any use of PSN services that appears to be unreasonable, abusive or is unduly burdensome.
106. Access to the PSN website and services requires You to have at your own expense suitable internet service and suitable computer or smart device.
107. You are responsible for costs associated for your equipment, software including cyber protection, and internet required to communicate with PSN and to access the internet-based information and Services from PSN.
108. Providing false contact or other required information may result in the termination of your account. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of the Terms and Conditions or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for these reasons, you may not re-subscribe to our Services.
109. You agree to advise PSN in good time, changes to your personal details including contact information to allow us to provide services to you and to communicate with you.
110. Our main form of communication with members is via email. We recommend that you provide us at least a second email address as an alternative personal email address for contingency purposes, should we be unable to contact you via your primary email address.
111. PSN services are in the English language. Submissions and correspondence to PSN shall only be accepted in the English language.
112. A fundamental value of PSN is respect. You agree that your communications within the PSN community shall be at all times lawful, respectful and confidences respected.
113. You agree that when using PSN services your interactions and comments shall be respectful, civil and trustworthy.
114. You agree not to use language, gestures or images, including (but not limited to) clothing or in background during video sessions that may be reasonably considered offensive.
115. You agree not to post any review or comment that contains any unlawful, threatening, abusive, defamatory, obscene, vilifying or infringing material. If you do, you agree to indemnify PSN for any losses, costs, expenses or damages that PSN may suffer or incur as a result.
116. Members are encouraged to report to PSN any inappropriate on-line behaviour by other members or inaccurate or inappropriate information contained in this Website or linked sites.
117. On occasions, PSN on-line services may not be available due to maintenance. In anticipation, we thank you for your support and patience during upgrade periods.
118. The publication of PSN's email and social media addresses on this Website is to facilitate communications relating to the services supplied by PSN. It must not be inferred by You as consent by PSN to send unsolicited commercial electronic messages.
119. You agree not to spam PSN, PSN members or PSN third-parties or try to harvest personal information from our Website.
120. Members may request PSN to communicate to the PSN community about research projects to invite input or collaboration from their peers.
121. Online requests to PSN may take up to three (3) working days for a response from us.
122. You agree not to misrepresent PSN for example, you will make it clear should you provide analysis, provide any comment, such as in the media, forums and conferences etc, and not that of PSN.
123. You agree that any opinion or other information in the traditional or social media that You post, or via email, texts or other platforms is yours and not that of PSN and that this should be clear to any recipient.
124. You agree not to state, infer or suggest that PSN endorses advice, research, products or services, unless endorsement is clearly provided by PSN.
125. Members shall not enter into any financial binding agreement of any kind representing or involving PSN.
126. Members shall not represent PSN in any negotiation or agreement that may commit or otherwise involve PSN.
127. You agree that no joint venture, partnership, employment, or agency relationship exists between you and us, unless an explicit agreement between You and PSN has been established.
PRIVACY AND SECURITY
128. We take the security and privacy of your personal information very seriously. We have steps in place to make sure your data and online transactions with us are secure and safe.
129. As a member, You acknowledge and agree to our Privacy Policy, which you may view at the bottom of our homepage: www.protectivesecuritynetwork.com.au.
130. You are responsible for maintaining the security of your PSN account details and you are fully responsible for all activities You undertake under the account and any other actions You take in connection with it.
131. You agree not to pass on your password or any other security protocol provided by PSN to any other person.
132. Be careful when downloading any materials or clicking links, even if it seems to come from PSN. If the email or message in another form seems suspicious, contact admin@protectivesecuritynetwork.com.au
133. PSN will never send you emails or text messages with a link asking for money transfers, banking information or passwords. We will never change our bank details via email. If you receive any such messages please contact us immediately.
134. Users of the website or other PSN services are requested to advise PSN as a matter of urgency any discovered or suspected dishonest activity, such as scams related to this Website or unauthorised proxy site.
135. You must immediately notify us of any unauthorised use of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

Before joining an online session, you should consider your personal information including your image that may be exposed to others, and be careful of any confidential or sensitive information that you may have relating to any other party (individual or entity) that You should not share.
139. Requests to PSN to provide personal information on other Members or members of the advisory board will be denied. There may be genuine reasons for requests for personal information such as contact details, however PSN will not disclose, unless by lawful order, any personal information without the permission of the information owner.
140. You are responsible for maintaining the confidentiality and security of authentication information in relation to this Website. You are responsible for any, and all activities on this Website which occur under your authentication.
141. PSN cannot guarantee that any file or program available for download and/or execution from or via this Website is free from viruses or other conditions, which could damage or interfere with data, hardware or software with which it might be used. Unless you otherwise specify in writing, any material You submit to PSN, You also irrevocably grant to PSN a non-exclusive, royalty free, perpetual right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display, including images throughout the world in any media. You expressly waive in favour of PSN all moral rights in any jurisdiction.
157. Any material You submit will be subject to the discretion of PSN editors and moderators on whether your content will be published or posted. PSN reserves the right – but not the obligation – to review, edit or delete any submissions or images within submissions that PSN deems to be illegal, offensive or otherwise inappropriate in accordance with the Code of Conduct, our Purpose and our commitment to providing the highest quality Services.
158. In providing content to PSN, You warrant the following:
a) Your content is accurate and genuinely your original work. If it is not your original work or content, we expect you inform us accordingly and to cite relevant references to the actual owner of the content (if known).
b) You did not digitally alter images or video footage in any way to impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity or misrepresent the ownership of the content.

On providing your content to PSN for publication in any media, you indemnify PSN and its officers, employees against any damage or loss made against or suffered by any of those indemnified arising, in whole or in part, arising from the publication by PSN of your content; or a breach by you of the above warranties or any of these Terms and Conditions.
TERMINATION
160. The obligations and liabilities of the parties incurred prior to the termination date of subscription shall survive the termination of subscription for all purposes.
161. These Terms and Conditions are effective unless and until terminated by either You or us. You may terminate these Terms and Conditions at any time by notifying us that you no longer wish to use our Services, or when you cancel your membership of PSN.
162. If in PSN’s sole judgment you fail, or we suspect that You have failed, to comply with any term or provision of these Terms and Conditions or the PSN Code of Conduct, we also may suspend or terminate this agreement at any time by providing email notice to you.
SEVERABILITY
163. In the event that any provision of these Terms and Conditions is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions, such determination shall not affect the validity and enforceability of any other remaining provisions.
